OVERVIEW

SDD Global was incorporated in India in March of 2006, and it is managed by the New York-based media and intellectual property law firm, SmithDehn LLP. We perform work for multiple companies and law firms, many of which have no connection with SmithDehn.

The credentials of the U.S.-licensed attorneys working for SDD Global are impeccable. Russell Smith, Frank Dehn and Kwarma Vanderpuye in particular each have over two decades of legal experience at big and small law firms alike. Bruce Campbell and Alex Hannell are also “big law firm” veterans, who bring expertise in commercial contract drafting and negotiations.

While at the venerable former firm of Webster & Sheffield, after graduation from Harvard Law School, Frank Dehn worked on all manner of complex commercial litigation, including IP cases and trials.

Columbia Law graduate Smith, while a partner at Frankfurt Kurnit Klein & Selz, and also at SmithDehn, has also represented a wide variety of corporate and commercial clients, handling not only counseling and drafting, but also trials and appeals in the State and Federal courts of New York, California, Illinois, Texas, Louisiana, Michigan, Mississippi and Ohio. Mr. Smith is now based in India, managing, training, and supervising the SDD Global attorneys in person.

Kwarma Vanderpuye, a former partner at Jones Hirsch Connor & Bull and former Head of Litigation at the McMillan firm, is a stellar trial lawyer who has won countless jury verdicts for corporate and other defendants over the years. Ms. Vanderpuye, a graduate of Princeton University and Howard University Law School, is devoted to helping us recruit and train the best and brightest legal talent in India to carry out our operations.

Bruce Campbell, Special Advisor at SDD Global, is a specialist in corporate finance and intellectual property transactions. Bruce has made multiple trips to our Mysore office, where he has been conducting intensive, onsite training of our Indian attorneys in the areas of corporate and securities transactions, to strengthen our contractdrafting and other skills. Bruce started his practice as an attorney at Hogan Hartson, one of the world’s largest international law firms. Inspired by his entrepreneurial clients, Bruce opened his own firm in February 2003. After experiencing the work of SDD Global first hand as a client, and after spending time with us at our headquarters in Mysore, India, Bruce decided to join our company and further develop its capabilities for corporate clients. In his ten years of legal practice, Bruce has helped to form and finance numerous companies. He has guided many early stage companies through mergers, acquisitions and initial public offerings. His intellectual property experience includes representing clients in transactions with some of the most well known names in technology. He has provided advice on intellectual property transactions with companies located in Asia and Europe. He graduated with honors from the George Washington University Law School and summa cum laude from the University of Pittsburgh. He was a member of the George Washington Journal of International Law and Economics. While pursuing his undergraduate degree, Bruce studied at the University of Paris, La Sorbonne and the Institute for European and Asian studies in Paris, France.

In addition, Alex Hannell, head of our London Office, has distinguished himself in the area of negotiation and drafting of commercial contracts. Like Bruce and Russell, Alex has been involved in intensive, onsite training of our attorneys in Mysore, in the area of commercial contractdrafting. He was Head of Commercial Affairs for Granada International, the worldwide arm of one of the U.K.’s largest companies, Granada Media Group (now ITV). Mr. Hannell is also a veteran of one of the most preeminent Londonbased law firms, Herbert Smith LLP, as well as the intellectual property/technology firm Bonnins, where he was Solicitor in the Media & Intellectual Property Groups.

B. THE HIGH QUALITY OF OUR INDIA TEAM

In addition to the fact that our India legal associates are trained and supervised by firstrate U.S. lawyers, we also take pride in our selectivity in hiring. Our Indian lawyers are hired only after a three hour written aptitude test, a written essay, multiple interviews, and a thorough background check. All of our India attorneys graduated from the best Indian law schools, many of them have Masters Degrees in intellectual property law, one is a former star lecturer in law, many were trained in U.S. law at other legal outsourcing companies, and several had distinguished legal careers in private practice at the best law firms in India. C. THE ONLY LEGAL OUTSOURCING COMPANY IN MYSORE, ONE OF THE BEST BUSINESS LOCATIONS IN INDIA

Although it has a population of nearly one million, the beautiful, green “Heritage City” of Mysore stands apart from India’s congested and inflationridden major commercial centers. While office locations in parts of Mumbai, Delhi/Gurgaon and Bangalore are now more expensive than in New York and Los Angeles, our offices in Mysore cost only 1/43rd as much money per square foot as the least expensive offices in Midtown Manhattan. The low cost of office space in Mysore means that our clients’ fees are spent on a highquality workforce, rather than on real estate. Moreover, Mysore’s low cost of living, and high quality of life, also allows us to attract, and keep, excellent employees from all over India. Another important benefit of Mysore is that the commute times for our employees average less than five minutes, as compared to nearly two hours in hopelessly congested major cities. This means many more hours available for work and relaxation, as opposed to wasting countless hours snarled in traffic. Lastly, because we and Infosys (India’s software giant, with its largest facility in Mysore), are the city’s best employers, the scourge of “jobhopping” that affects so many legal outsourcing companies in large cities is not a problem for us. To the contrary, many of our employees have “hopped” to us, from bigcity competitors.

D. OUR STATE-OF-THE-ART INFRASTRUCTURE AND PROTECTION OF CLIENT CONFIDENTIALITY ARE UNMATCHED IN THE INDUSTRY

Thanks to our investors, we were able to spend nearly half a million dollars (Rs. two crore) to ensure the best possible infrastructure to serve our clients with state-of-the-art reliability, security, and speed. Through our partnership with Cisco Systems and IBM, we have a world-class-R&M-certified 1000 mbps network, with all of the best components such as IBM servers, and Cisco switches, firewalls, routers and IP-phones. In particular, we are using the latest Cisco ASA firewall for protecting data and systems from internet vulnerabilities. Our IBM servers are equipped with RAID (redundant array of independent disks) for additional security. Even more reliability and protection is provided by a Linux environment throughout our offices, as well as redundant 2 mbps lease lines, and multiple power back-ups, including two UPS systems and a massive, sound-controlled diesel generator that can power the entire building for as long as needed. Electronic access control is provided for all areas of the building, such that no one is able to enter any floor or project area without being specifically authorized to do so, and without using a custom-made electronic access card. To ensure the highest standards, we arranged for all of our office construction and interior work to be handled by the best construction management company in India, Integrated Property Management & Services, whose other clients include IBM, Citibank, Google, Goldman Sachs, Sony, and American Express.

Sanjay Bhatia

A 1993 graduate of The National Law School of India University, widely acclaimed as the finest law school in India, Sanjay has been associated with the American legal system even before the term “LPO” was coined for “legal process outsourcing.” After graduating, Sanjay first practiced before the Karnataka courts in diverse areas of law including corporate, tax and real estate law, and also wrote extensively for The Hindu Business Line, India's premier financial daily, for almost four years. Sanjay helped set up, incorporate and manage the first legal offshoring unit, Atlas Legal Research, a highend legal research company that commenced its India operations in 2001. As head of Atlas's India operations, Sanjay gained significant experience in U.S. legal drafting and research. Sanjay personally has handled and supervised at least half a dozen “50state surveys” on a multitude of U.S. legal issues, besides being involved in countless research and drafting projects for U.S. attorneys, law firms and corporations. Arguably, there is no other Indian attorney in the Indian legal outsourcing industry with more experience in U.S. laws than Sanjay. Sanjay has imparted and continues to impart cutting edge training to every attorney in our company, besides personally assisting in the supervision of legal research and drafting.

Padmavathi Shantamurthy

Ms. Padmavathi joined us as a Legal Research Manager in August, 2006. Given her dedication and enthusiasm, it is no surprise that Padmavathi has an impeccable academic record, having secured the second rank in law from the University of Mysore. Padmavathi was a “superstar” lecturer in law at the University of Mysore and its affiliate colleges for six years, before undergoing intensive training in U.S. legal research at SDD Global. Her other notable academic achievements include obtaining a postgraduate diploma in Intellectual Property Rights from top-ranked National Law School in Bangalore, an LL.M in International Law and Business & Trade Law from the University of Mysore, and undergoing a course in cyber laws from the Asian School of Cyber Laws, in Pune. Ms. Padmavathi has written and published research articles in such areas as trademark law and globalization. To her broad knowledge and excellent legal research skills, she also brings a passion for teaching, which has proved invaluable in the training and supervision of top-notch legal researchers at SDD Global.

Siddharth Vedula

We recruited Siddharth Vedula from India’s top ranked law school, namely, National Law School of India University, Bangalore. We selected Siddharth during his internship with us, because he demonstrated an extraordinary ability to learn U.S. law and procedure, and to handle U.S. legal matters for law firm clients, as well as corporate clients. With his academic credentials, and also having completed a prestigious clerkship at the Supreme Court of India under Honorable Mr. Justice Dalveer Bhandari, as well an internship at the Corporate Legal Group of ICICI Bank, Siddharth had no shortage of career opportunities. He accepted the offer to join SDD Global Solutions because of his strong interest in international media and entertainment law, and because SDD Global is India’s leader in this field.

Siddharth has grown to become a core member of our research and drafting team, having received invaluable training on complex areas of law ranging from bankruptcy law, contract drafting, and U.S. corporate and securities law. Before joining us, Siddharth held the positions of Line Editor at Indian Journal of Law and Technology, and Editor at Indian Journal of International Economic Law. He also represented N.L.S.I.U. in the Hamline IIAM National Moot Court Competition and the G.R. Kare National Moot Court Competition. In his extracurricular activities, Siddharth has been an expert quizzer, representing N.L.S.I.U. at intercollegiate and national level quizzes, and he was a Quiz Master at Ipso Facto 2007, the National Law School Quiz Fest.

A. Legal Research and Drafting

As discussed above, SDD Global’s legal research and drafting teams, like all of our personnel, are comprised of experienced lawyers and/or former law lecturers who hail from prestigious Indian law schools and law firms, and who are fully trained by U.S. lawyers. They can provide any number of research tasks, across key subscription databases such as LexisNexis, Westlaw, and other platforms. Our teams have handled legal research in every one of the U.S. Federal Circuits and all of the 50 U.S. States. Our teams have performed multi-jurisdictional comparison surveys for Fortune 100 and other companies with results that have earned them public praise. (See Section VII below.)

We also are expert in helping clients obtain research results in multiple foreign countries, including those in the Middle East, Europe and Asia. Trial:

TWELVE CASE STUDIES / SUCCESS STORIES
1. HISTORIC DISMISSAL OF L.A. LIBEL SUIT AGAINST THE “ALI G SHOW”
Winning a landmark court decision that has become a tipping point in favor of legal outsourcing, and that also will benefit comedy writers, performers, television broadcasters, and film studios, SDD Global performed all of the legal research and drafting for the successful motion to dismiss Doe v. HBO, a high-profile libel litigation in Los Angeles County Superior Court, involving Sacha Baron Cohen’s acclaimed comedy series, “Da Ali G Show.”

U.S. lawtrained Indian attorneys at SDD Global conducted the legal research and drafted all of the preliminary drafts of court papers in the litigation, including Defendant Channel 4’s motion and brief for summary judgment, which allowed Channel 4 to fight and defeat the lawsuit, rather than settling in order to avoid burdensome legal fees

SDD Global's team leader, Padmavathi Shantamurthy traveled from her home in Mysore, India to Los Angeles, San Francisco, and New York to assist with oral arguments and depositions in the case. The victory created shock waves in the U.S., British, and legal media, because it was the first example in which a team of Indian lawyers at a legal outsourcing company was able to win a major Western litigation. The media and legal worlds learned a lesson that has profound implications for the future of legal services in the West. Without SDD Global's involvement, mounting a defense against this lawsuit would not have made economic sense, and the defendants would have simply paid the plaintiff to go away. This would have been just to avoid U.S. legal fees, even though the case has no merit. However, with SDD Global's team of excellent, U.S. law trained, Indian attorneys doing the ‐ work, it was less expensive to fight the suit, than it would have been to settle. Because SDD Global's team made the defense affordable, U.S. lawyers were able to do the things in the U.S.that they do best there, such as strategizing, supervising, editing, and appearing in court. SDD Global demonstrated that, with legal outsourcin g, baseless lawsuits can be defeated on the merits, instead of settled simply out of fear of legal fees.

2. IN VICTORY FOR ENTIRE INDUSTRY, SDD GLOBAL DEFEATS LAWSUIT AGAINST LEGAL OUTSOURCING
We also take pride in performing the legal research and drafting for the successful motion to dismiss the Washington D.C. federal lawsuit against legal outsourcing in India, Newman McIntosh &Hennessy v. Bush. Our legal papers, which required no editing or revision by U.S. defense counsel, led the plaintiff law firm to immediately withdraw its complaint.

This case, which drew worldwide attention, was designed by the U.S. law firm plaintiff to place roadblocks in the way of all legal services outsourcing to India. The firm, Newman McIntosh & Hennessy (“NMH”), sought a court order against “all United States based attorneys” who outsource legal work to India, and “all foreign legal outsourcing providers.” The named defendants were Indiabased Acumen Legal Services, along with then-U.S. President George Bush. Acumen retained SDD Global to lead the defense.

NMH sued on the basis of false speculation that the U.S. government is intercepting all or most of the data sent by U.S. lawyers to foreign legal outsourcing providers, as part of an antiterrorism campaign. Thanks to our motion to dismiss and supporting legal brief, prepared entirely in Mysore, NMH got an unexpected taste of the kind of highquality legal work that Indian lawyers can provide, even in the Washington D.C. federal court. Again we demonstrated our company's extraordinary ability to research and draft extremely sophisticated briefs and motions, to the point where the quality of our work exceeds that of many U.S. law firms.

3. SDD GLOBAL IS THE FIRST LEGAL OUTSOURCING COMPANY TO PROVIDE SUPERVISION AND EDITING FOR A MAJOR U.S. LAW FIRM
In a stunning role reversal that could provide new impetus to our industry, SDD Global is the first legal outsourcing company hired to supervise and edit the work of U.S. lawyers at one of the 100 largest Western law firms. Shattering the myth that lawyers in India can provide only lowend, backoffice functions, our team in Mysore has become so expert in U.S. litigation that it now reviews and edits motion papers drafted by American associates and partners. For busy Western attorneys operating under punishing deadlines, our roundtheclock, toptier assistance has proved crucial in polishing legal briefs and other litigation papers before they are filed in court. We suggest new legal arguments and defenses, point out errors in logic and legal strategy, identify and correct grammatical and legal citation mistakes, and otherwise help U.S. lawyers provide a virtually flawless final product for their clients.

4. SDD GLOBAL SERVES EFFECTIVELY AS INHOUSE LEGAL DEPARTMENT FOR MAJOR STEEL COMPANY
In another path breaking development, SDD Global effectively has become the equivalent of an inhouse legal department for a U.S. steel company, showing companies everywhere how they can achieve tremendous cost savings in the legal services arena.

This began when a $300 million Indian steel company, Electrosteel Castings, wanted to expand its operations into the United States. It hired SDD Global, first to do complex research on patent law and antidumping issues to ascertain whether its products would be in compliance with U.S. patent law, and whether antidumping duties would be leviable on the import into the U.S. from India and China of its steel products. We carried out the research, the results of which led to the steel company taking a multimilliondollar investment decision to expand into the United States.

The same company then had SDD Global perform a multistate survey to determine which form of business entity and which state in the U.S. would be the most favorable in which to incorporate. SDD Global performed a 50-state survey and, after examining the laws in various states, provided information to the company on the most advantageous form of business entity it should adopt, and which state would be most suitable for incorporation, considering its operations. SDD Global then prepared the organizational documents and incorporated the United States entity, Electrosteel USA LLC.

Following its incorporation of Electrosteel USA, SDD Global has provided a range of corporate legal services, including IP registrations, creation of a subsidiary, and preparation of various legal documents needed for operations. Most notably, SDD Global single-handedly won a trademark appeal for the company, convincing the U.S. Patent and Trademark Office to change its position denying registration for one of our client's most important brand names.

5. CASE IS TURNED AROUND OVERNIGHT
A Fortune 500 company in New York faced a multi-million dollar lawsuit in Alabama, by a plaintiff company that had agreed in writing that any dispute would be brought only in New York. Big firm local counsel in Alabama advised the client that a motion to dismiss would not succeed, and cited two authorities. In-house counsel at the Fortune 500 client asked us to prepare a memorandum on the subject. Overnight, SDD Global did the research and provided a memo, allowing in-house counsel to conclude that the local counsel was wrong, and that the case could be dismissed.

6. OUR RESEARCH AND DRAFTING ALLOWS FILM TO PROCEED
The Business Standard reported on one of our assignments as follows: "Sony Pictures had to [obtain] an ‘opinion letter,’ outlining the activity and the risks involved, for insurance firms in order to secure cover for shooting a movie, and the movie’s fate hinged on the letter and the cover." SDD Global’s draft of this 45-page opinion, prepared in only 10 days and complete with 242 footnotes, each citing legal authorities, saved the client over $100,000 and led to the green-lighting of a major motion picture, which might otherwise have not been released.

7. CASE DISMISSED
A Fortune 100 company was sued in California for 40 million dollars, by a plaintiff who released the complaint to the media, but did not serve it upon the client. Over the weekend, without waiting for a copy of the complaint to become available from the Court, SDD Global prepared a roadmap for dismissal, based on news reports of the claims. When a copy of the actual complaint was obtained on Monday, SDD Global quickly made a few necessary revisions. The SDD Global roadmap, complete with multiple citations for dismissal of each claim, was used for oral argument at a status conference, after which the Judge stated that the complaint had no merit. The Court persuaded the plaintiff's counsel to withdraw the suit that day.

8. SDD GLOBAL HELPS WIN IP CASE
A major publisher retained us to help in a copyright suit, against a counterfeit distributor. The counterfeiter hired one of the biggest law firms in the U.S. The large law firm fired off a lengthy letter on a Monday night, citing authorities and allegedly demonstrating why the case should be dropped. SDD Global's team went to work, preparing an even more lengthy, and better, response. Due to the time zone difference, the response reached the surprised defense counsel's desk Tuesday morning. When the counterfeiter and its lawyers realized that the publisher could match and even exceed their litigation resources at a fraction of the cost, the case settled favorably for our client.

9. 50-STATE SURVEY AND ANALYSIS FOR ANOTHER BLOCKBUSTER HOLLYWOOD FILM SAVES CLIENT OVER $200,000 IN LEGAL FEES
Another major Hollywood film studio hired SDD Global Solutions to research and prepare a 50-state survey report on contract law and 19 other legal issues, in connection with a multi-million-dollar-budget movie it intended to produce. A team of 12 lawyers at SDD Global Solutions worked for 43 days and prepared a comprehensive 103-page-memorandum addressing all the issues required by the client. SDD Global's efforts resulted in saving the client over $200,000 in legal fees.

10. SDD GLOBAL “WRITES THE BOOK” ON U.K. LAW
A U.K.- based company, which has been accredited by the Solicitors Regulation Authority & Bar Standards Board to provide CPD (Continuing Professional Development) courses to Solicitors in U.K., approached SDD Global Solutions in January 2008 to prepare course content on the law relating to the Companies Act, 2006 and on Private Company Acquisitions Through Share Purchase.
